Terms of service
These terms apply when you visit this website or subscribe to an Adverza product. They are written to be read, so if anything is unclear, ask us before you sign up.
About these terms
These Terms of Service (the “Terms”) are an agreement between you and Adverza (“Adverza,” “we,” “us”). “You” means the person using this website and, when you subscribe to our services, the business you represent. By using the website or our services, you agree to these Terms.
When we start working together, we confirm your plan, team, price and start date in a written proposal, order form or service agreement (your “Order”). If your Order says something different from these Terms, the Order wins for that engagement.
Our services
Adverza builds, trains and manages dedicated teams and systems that work inside your business: executive and virtual assistants, marketing and creative, calls and lead follow-up, automation and AI systems, and growth and sales support. Descriptions, sample dashboards and prices on this website are general information. Your Order defines what your team actually does.
Every plan includes a dedicated account lead, weekly reporting and backup coverage, unless your Order says otherwise. We plan to have your team working within seven days of your strategy call; that timeline depends on you giving us the access and information listed below.
Your responsibilities
For your team to do good work, you agree to:
- Give us timely access to the tools, accounts and information the work requires, and keep that information accurate.
- Review and approve scripts, templates, content and automations before they go live, and tell us promptly when something is wrong.
- Keep the licenses, registrations and permissions your business needs. Your team supports licensed work, but decisions and licensed activities (for example in real estate, insurance, mortgage or construction) stay with you and your licensed staff.
- Follow the laws that apply to your business, your industry and your customers.
- Not ask your team to do anything illegal, unsafe or against the rules listed in the next section.
What our team will not do
To protect you, your customers and your license, these rules apply on every account:
- No opinions on price, value or condition.
- No contract interpretation.
- No handling money.
- No client data in screenshots.
- No paid ads without written approval.
Our team does not give legal, tax, accounting, investment, lending or brokerage advice, and nothing they prepare should be treated as such advice. Any payment they help process, and any paid advertising they set up, requires your written approval.
Calls, texts and emails on your behalf
Some products involve contacting leads and customers for you. You are responsible for making sure every contact list you give us, and every campaign you approve, has the consent the law requires. That includes consent for calls and text messages, do-not-call rules and email opt-out rules.
We follow your approved scripts and honor opt-out requests as soon as we receive them. We may pause a campaign that we reasonably believe breaks the law or a platform’s rules.
Fees and billing
- Subscriptions are billed monthly, in advance, by card or ACH. Your first month is prorated from your launch date.
- Monthly plans have no setup fee. Items marked as “setup,” “one-time” or “per project” are billed as stated in your Order.
- Advertising spend, software subscriptions and other third-party costs are paid by you, directly to the provider or as agreed in your Order.
- Prices do not include taxes. You are responsible for any sales, use or similar taxes that apply.
- If a payment fails and is not resolved within 10 days of our notice, we may pause the service until the account is current.
- We may change prices with at least 30 days’ written notice. The new price applies from your next billing period after the notice ends.
Term and cancellation
Monthly plans run month to month with no long-term contract. You can cancel at any time with 30 days’ written notice to connect@adverza360.com. Service and billing continue through the notice period. Fees already paid, and one-time or project fees for work already started, are not refundable.
We can end the engagement with 30 days’ written notice, or immediately if you seriously breach these Terms or your Order, for example by not paying or by asking your team to act unlawfully.
When the engagement ends, we hand back what belongs to you (see Ownership of work), our team gives up its access to your systems, and you should change any shared passwords.
Your team, coverage and replacements
Your team members are selected, trained, employed or contracted, and managed by Adverza. They are not your employees, and we are responsible for their pay and management.
If a team member is out, our bench covers the work. If someone is not the right fit, tell your account lead and we will replace them at no extra cost.
Hiring our team members
We invest in recruiting and training every person on your team. While we work together, and for 12 months after the engagement ends, you agree not to hire or contract, directly or through someone else, any person who worked on your account without our written consent. If you would like to bring someone onto your own staff, talk to us first and we will agree on fair terms in writing.
Confidentiality and your data
Each of us will keep the other’s non-public business information confidential and use it only for our work together. This covers your customer data, leads, pricing, processes and files, and our methods, pricing and training materials.
We access your systems only through the permissions you grant, use your data only to deliver the services, and limit access to the people working on your account. Our Privacy Policy explains how we handle personal information.
Ownership of work
Once the related fees are paid, you own the work we create specifically for you: designs, content, copy, scripts, SOPs written for your business and automations built in your accounts. Your data, brand and materials always stay yours.
We keep ownership of our own tools, templates, frameworks, training materials and general know-how, including anything we used before or outside your engagement. We will not use your name, logo or work in our marketing without your permission.
Third-party tools, ads and AI
Your team works in tools such as your CRM, email, phone system, ad accounts and scheduling software. Those tools are provided by other companies under their own terms. We are not responsible for their outages, changes or decisions, such as an ad platform rejecting an ad.
Some products use automation and AI to draft messages, route leads or summarize information. We set these up to be reviewed by people, and you approve them before they run for your business.
Results and warranties
We perform our services with care and in a professional manner. If something falls short, tell us within 30 days and we will fix it at no extra cost. That is your main remedy for work that does not meet this standard.
We cannot guarantee specific business results, such as a number of leads, appointments, sales or rankings, because they depend on factors outside our control. Apart from what these Terms state, the website and services are provided “as is” and “as available,” and we disclaim all other warranties to the extent the law allows.
Limitation of liability
To the extent the law allows, neither of us is liable to the other for lost profits, lost revenue, lost data or any indirect, incidental, special or consequential damages, even if we were told they were possible.
Our total liability for any claim related to these Terms or the services is limited to the fees you paid us in the three months before the event that caused the claim. These limits do not apply to amounts you owe us, to a breach of confidentiality, or to liability that the law does not allow us to limit.
Indemnification
You agree to defend and hold Adverza harmless from claims that arise from your data, contact lists or instructions, your products or services, or your breach of these Terms or the law. We agree to do the same for claims that arise from our team’s willful misconduct or our breach of these Terms.
Using this website
You may use this website to learn about Adverza and to contact us. Please do not misuse it, interfere with how it works, try to access it without permission or copy its content for commercial use. Website content, including our name, logo and designs, belongs to Adverza or its licensors. Photographs on this site are used under their licenses.
Information on the website is general and may change. Links to other websites are provided for convenience; we are not responsible for their content.
Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. If a dispute comes up, we both agree to first try to resolve it in good faith by talking directly. If that fails, the dispute will be handled exclusively by the state or federal courts located in Florida, and we both consent to their jurisdiction.
If any part of these Terms cannot be enforced, the rest remains in effect. If we do not enforce a right right away, we do not give it up.
Changes and contact
We may update these Terms from time to time. We will change the date at the top of this page, and if a change materially affects an active engagement, we will tell you at least 30 days before it applies to you.
